Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Xperts Tech LLC ("Company," "we," "us," or "our") governing your access to and use of the eXpertsnearme mobile application, website, and all related services (collectively, the "Platform").

By downloading, installing, accessing, or using the Platform, you confirm that you are at least 13 years of age (or 18 in some jurisdictions), that you have read and understood these Terms, and that you agree to be bound by them. If you do not agree, do not use the Platform.

1. About the Platform

eXpertsnearme is a discovery and communication platform that connects individuals ("Clients") with local professionals, service providers, craftspeople, and experts ("Experts") across a wide range of fields including — but not limited to — technology, business, healthcare, education, legal services, finance, marketing, design, engineering, and consulting.

The Platform provides tools for map-based discovery, profile browsing, real-time messaging, status and showcase features, job postings, and ratings and reviews. Xperts Tech LLC functions as a marketplace intermediary only — we do not directly provide any professional services and are not a party to any agreement between Clients and Experts.

2. Eligibility & Account Registration

• Age Requirement: You must be at least 13 years old to use the Platform. Users under 18 must have verifiable parental or guardian consent. Users under 13 are strictly prohibited.
• Accurate Information: You agree to provide truthful, current, and complete information during registration and to keep your account information updated at all times.
• Account Security: You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Notify us immediately at support@xpertsnearme.com if you suspect unauthorised access.
• One Account Per Person: Each user may maintain only one active account. Creating multiple accounts to circumvent suspensions or other restrictions is a violation of these Terms.
• Non-Transferable: Your account is personal and non-transferable. You may not sell, transfer, or otherwise dispose of your account to any other person.

3. User Responsibilities & Conduct

By accessing or using the Platform, you agree to act responsibly and lawfully at all times. You specifically agree to:

• Professionalism: Treat all users — Clients and Experts alike — with respect. Harassment, bullying, hate speech, discrimination, or threatening behaviour is strictly prohibited.
• Accuracy: Represent yourself, your qualifications, and your services honestly. Misrepresentation or impersonation of any person or entity is forbidden.
• Compliance: Adhere to all applicable local, state, national, and international laws and regulations while using our services.
• Content Standards: Only post content that you have the right to share, that is accurate, and that complies with applicable laws. Do not post illegal, defamatory, obscene, or harmful content.
• Platform Integrity: Do not attempt to access the Platform except through its official interfaces. Do not scrape, reverse-engineer, or attempt to extract our proprietary systems or databases.

4. Expert Profiles, Listings & Verification

4.1 Expert Accounts

Experts who enable "Expert Mode" make their profiles discoverable on the map and in search results. By doing so, you agree that your public profile information (name, skills, location, portfolio, pricing, ratings) may be visible to all users of the Platform.

4.2 Verification

Xperts Tech LLC offers an optional identity and credential verification process. Verification confirms identity and stated credentials at the time of review but does not constitute an endorsement, warranty, or guarantee of the quality, safety, competence, or legality of the services provided by any Expert.

4.3 Accuracy of Listings

Experts are solely responsible for the accuracy and currency of their profile information, service listings, pricing, availability, and portfolio. Xperts Tech LLC is not liable for any inaccuracies in Expert-provided information.

4.4 No Employment Relationship

Experts are independent contractors or businesses. They are not employees, agents, partners, or representatives of Xperts Tech LLC. We do not direct, control, or supervise the professional services provided by Experts.

5. Payments, Transactions & Tax

eXpertsnearme is currently a facilitation platform only. All financial arrangements for services rendered are made directly between Clients and Experts outside the Platform.

• No In-App Payments (Current): The Platform does not currently process payments between Clients and Experts. Any financial transactions are arranged and conducted directly between the parties.
• Future Payment Features: We intend to introduce integrated payment processing (via Stripe, Paystack, Flutterwave, and other providers) in a future release. These features will be subject to additional terms and conditions published at the time of launch.
• Payment Disputes: Xperts Tech LLC has no liability for non-payment, refund disputes, service dissatisfaction, or any disputes arising from transactions between Clients and Experts.
• Tax Obligations: Both Clients and Experts are solely responsible for determining and fulfilling their own tax reporting and payment obligations in their respective jurisdictions.

6. Status, Showcase & Advertising Features

• Status/Stories: Users may post 24-hour photo/video status updates. Content must comply with these Terms and applicable law. Status posts expire after 24 hours unless otherwise specified.
• Showcase Board: Experts may list products and services for discovery by other users. Listings must be accurate, legal, and not misleading.
• Advertising: We may offer paid promotional options (sponsored listings, featured profiles, boosted content) for Experts. Such paid placements will be clearly identified as promotional content.
• Content Moderation: We reserve the right to remove any status, listing, or showcase content that violates these Terms, community guidelines, or applicable laws, at our sole discretion.

7. Intellectual Property

7.1 Our Intellectual Property

All content, features, functionality, trademarks, logos, trade names, and intellectual property on the Platform — including all software, designs, text, graphics, algorithms, and data structures — are owned by or licensed to Xperts Tech LLC and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Platform for personal, non-commercial purposes in accordance with these Terms.

7.2 Your Content

You retain ownership of content you post on the Platform. By posting content, you grant Xperts Tech LLC a non-exclusive, worldwide, royalty-free, sublicensable, and transferable licence to use, reproduce, display, distribute, and create derivative works of your content solely for the purpose of operating, improving, and promoting the Platform.

7.3 Feedback

Any feedback, suggestions, or ideas you provide regarding the Platform may be used by us without restriction or compensation to you.

8. Prohibited Activities

We enforce a zero-tolerance policy for the following activities. Violations will result in immediate account suspension and potential legal action:

• Fraud & Misrepresentation: Impersonating any person or entity, creating fake profiles, or falsifying credentials, qualifications, or reviews.
• Harassment & Abuse: Threatening, stalking, harassing, or intimidating other users. Sharing another user's private information without consent ("doxxing").
• Illegal Activities: Using the Platform for money laundering, trafficking, drug trade, terrorist financing, gambling, or any other criminal activity.
• Intellectual Property Infringement: Uploading content that infringes on the copyrights, trademarks, or other intellectual property rights of others.
• Spam & Unsolicited Contact: Sending unsolicited commercial messages, spam chains, or bulk communications to other users.
• System Abuse: Scraping data, introducing viruses or malicious code, attempting to gain unauthorised access to our systems, or conducting Denial of Service (DoS) attacks.
• Circumvention: Attempting to bypass security features, account restrictions, or suspension measures.
• Minor Exploitation: Sharing, soliciting, or engaging in any content or activity that exploits, harms, or targets minors.
• Off-Platform Solicitation: Soliciting other users to conduct transactions on competing platforms solely to circumvent our future payment features or advertising revenue model.

9. Reviews & Ratings

• Reviews and ratings must be honest, accurate, and based on genuine first-hand experiences.
• You must not post fake reviews, paid reviews, reviews on behalf of others, or reviews designed to manipulate an Expert's rating.
• You must not attempt to coerce, incentivise, or intimidate other users into posting or removing reviews.
• We reserve the right to remove reviews that violate these guidelines or our community standards.

10. Disclaimer of Warranties

We do not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy, reliability, completeness, or suitability of any content on the Platform.

11. Limitation of Liability & Indemnification

11.1 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• No Consequential Damages: Xperts Tech LLC, its directors, officers, employees, agents, and partners shall NOT be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages arising out of or in connection with your use of or inability to use the Platform.
• Liability Cap: Our total cumulative liability to you for all claims arising from or related to these Terms or the Platform shall not exceed the greater of: (a) the total amount you have paid to us in the six (6) months immediately preceding the event giving rise to the claim, or (b) USD $50 (fifty United States Dollars).

11.2 Indemnification

You agree to indemnify, defend, and hold harmless Xperts Tech LLC and its officers, directors, employees, agents, and successors from any claims, damages, losses, liabilities, judgments, penalties, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or the rights of any third party; or (d) any content you post on the Platform.

12. Account Suspension & Termination

Xperts Tech LLC reserves the right to suspend, restrict, or permanently terminate your account at our sole discretion, with or without prior notice, for any of the following reasons:

• Violation of any provision of these Terms of Service.
• Conduct deemed harmful, abusive, fraudulent, or dangerous to the community or Platform.
• Extended inactivity or dormancy of your account.
• Receipt of valid legal processes or instructions from law enforcement.

Upon termination, your licence to use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination (including intellectual property, limitation of liability, and indemnification) shall survive.

13. Third-Party Services & Links

The Platform may integrate or link to third-party services, websites, maps, payment processors, or applications. Xperts Tech LLC is not responsible for the content, privacy practices, or actions of any third-party service. Access to third-party services is at your own risk and subject to the third party's terms and conditions.

14. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to conflict of law principles. For users located in Nigeria, we also acknowledge applicable Nigerian law, including the Federal Competition and Consumer Protection Act and the Nigerian Data Protection Regulation.

Any dispute that cannot be resolved through good-faith negotiation shall first be submitted to mediation, and if unresolved, to binding arbitration conducted under the rules of the American Arbitration Association (AAA).

15. Arbitration & Class Action Waiver

By agreeing to these Terms, you agree that any disputes arising between you and Xperts Tech LLC will be resolved through binding individual arbitration and not through class, collective, or representative action proceedings. You waive your right to participate in any class action lawsuit or class-wide arbitration against Xperts Tech LLC.

This arbitration agreement does not apply to claims for injunctive or equitable relief, or to claims that are not subject to arbitration under applicable law.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

• Update the "Last Updated" date at the top of these Terms.
• Notify you via an in-app notification or email at least 7 days before the changes take effect.

Your continued use of the Platform after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the new Terms, you must stop using the Platform and may request account deletion.

17. General Provisions

• Severability: If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.
• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Xperts Tech LLC regarding your use of the Platform.
• Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
• Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
• No Third-Party Beneficiaries: These Terms do not create any third-party beneficiary rights.
• Force Majeure: We shall not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including natural disasters, governmental actions, internet outages, or acts of God.
